Overview

The responsibility of the Paralegal Contract Specialist is to handle a variety of legal matters and corporate issues. The Paralegal Contract Specialist prepares, reviews, administers, extends, and terminates a variety of corporate agreements or addendums, prepares agreement notice letters as requested by business leaders, manages the non-disclosure agreement process, updates and maintains symplr's customer relationship management and contract management systems, assists with litigation and dispute matters as they arise, and other matters as assigned.

Duties & Responsibilities

  • Provide contract support, including reviewing, drafting and administering, standard corporate agreements such as non-disclosure, marketing, software license and services, independent contractor, SOWs, term extensions, terminations, agreement notice letters, and other technology-related commercial agreements
  • Maintain a proficient working understanding of symplr's day-to-day functions and symplr's products and services
  • Assist with litigation and dispute matters, as assigned and as necessary
  • Help respond to field requests for assistance with RFP/RFI/RFQs
  • Ensure that symplr's corporate policies and directives are vetted, complied with, and incorporated into contractual documents as applicable
  • Direct sales team members in obtaining any necessary approval(s) for non-standard contractual requests made by customer; monitor the approval(s) from the appropriate subject matter experts and release agreement when all approvals are received
  • Upload all signed agreements to symplr's contract management system; update, maintain, and ensure the accuracy of an internal contract management system and customer relationship management system; assist department staff with various agreement-related projects and handle all administrative aspects of agreement processing
  • Monitor agreement expirations and create agreement renewals where appropriate
  • Work closely with team on all revisions to agreement templates
  • Monitor supplier contractor expirations and pursue supplier contractor renewals where appropriate
  • Serve as liaison among various symplr departments to analyze agreements, conduct research, and respond to cross-department questions on provisions of specific agreements
  • Proofread, edit, and fact-check agreements for accuracy and consistency and review signed agreements received for handwritten or non-highlighted revisions and stamp approval
  • Facilitate signature by official Company signatory on all signed agreements received
  • Return copies of fully executed agreements to the third-party sales prospect, client, vendor, consultant, or supplier as appropriate
  • Manage the Non-Disclosure Agreement process from start to finish, including coordinating third party revisions, execution, and updating symplr's internal contract management and customer relationship systems
  • Maintain and file certain corporate records, including resolutions, board of director changes, annual reports, etc.
  • Coordinate and receive board and committee signatures for documents and materials
  • Create documents related to new corporate entity formations
  • Prepare documents relating to the development and implementation of corporate policies and templates
  • Provide administrative support for documents and activities related to corporate restructurings, formations and dissolutions; mergers and acquisitions; corporate maintenance matters; customer bankruptcy proceedings; and other matters as needed.
  • Assist with the contract process, including planning, collaboration, negotiation, and execution
  • Ensure use of applicable compliance tools, including denied parties screening, FCPA, etc., as appropriate
  • Work with other members of the legal team on special projects and initiatives, as requested

  • Familiarity with software licensing concepts such as limitations of liability, indemnification, warranties, etc.
  • High proficiency with MS Office Programs
  • Excellent written and oral communication skills
  • High energy, creative, self-motivated, and able to complete tasks with minimal supervision
  • Works well in a fast-paced, high pressured environment with irregular hours

Qualifications Required:

  • Familiarity with software revenue recognition issues
  • Experience drafting and negotiating commercial agreements
  • Bachelor’s degree and/or Paralegal Certificate from an accredited institution, or an equivalent combination of education and relevant experience
  • Five years of experience in a corporate or law firm paralegal role, or commensurate experience in contract administration duties, preferably at a technology company
